These terms constitute a legally binding agreement between you and Pender Exchange governing your use of the platform and all services offered through it.
Pender Exchange is a community classifieds marketplace designed to serve the residents and communities of North Pender Island and South Pender Island, British Columbia, Canada. The platform provides a space where local users can post listings to buy, sell, trade, give away, or seek goods and services within the Pender Island community.
Pender Exchange acts solely as a venue to facilitate connections between users. The platform does not participate in, broker, or guarantee any transaction, agreement, or communication that occurs between users, whether on or off the platform.
You must be at least eighteen (18) years of age to create an account or use Pender Exchange. By using the platform, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms of Service.
If we become aware that a user under the age of 18 has created an account, we will take steps to terminate that account and remove any associated content.
You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any other authentication information associated with your account. You agree to notify Pender Exchange promptly of any unauthorized access to or use of your account.
You are responsible for all activity that occurs under your account, whether or not you have authorized such activity. Pender Exchange will not be liable for any loss or damage arising from your failure to safeguard your account information.
You agree to provide accurate, current, and complete information when creating your account and to keep your account information updated. Misrepresentation of identity or account details may result in suspension or termination of your account.
All listings posted on Pender Exchange must be accurate, truthful, and not misleading in any respect. Descriptions, photographs, pricing, and item conditions must faithfully represent the goods or services being offered.
The seller or poster is solely responsible for the items or services described in their listings, including their legality, quality, safety, and compliance with all applicable laws and regulations.
Pender Exchange reserves the right, at its sole discretion, to remove, edit, or refuse any listing for any reason, including but not limited to violations of these Terms of Service, community guidelines, or applicable law. We are not obligated to provide notice or explanation for the removal of any listing.

This list is not exhaustive. Pender Exchange reserves the right to prohibit any item or content that we determine, at our sole discretion, to be inappropriate, unlawful, or contrary to the interests of our community.
Pender Exchange is a venue for users to connect. We are not a party to any transaction between users. All sales, trades, and exchanges are conducted solely between the parties involved.
Pender Exchange does not inspect, verify, authenticate, or guarantee any items listed on the platform. We do not handle payments, shipping, or delivery of goods. Users engage in transactions entirely at their own risk and are encouraged to exercise due diligence and reasonable caution when meeting other users or exchanging goods and services.
We strongly recommend that users meet in safe, public locations when conducting in-person transactions and take appropriate precautions to protect their personal safety.
Pender Exchange and its operators, officers, employees, and agents provide the platform on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted under the laws of British Columbia and Canada, Pender Exchange shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with:
Nothing in these terms is intended to exclude or limit liability that cannot be excluded or limited under applicable Canadian or British Columbia law, including liability for fraud or gross negligence.
You agree to indemnify, defend, and hold harmless Pender Exchange and its operators, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
You retain full ownership of all content that you create and post on Pender Exchange, including text, photographs, images, and other materials included in your listings or profile.
By posting content on Pender Exchange, you grant the platform a non-exclusive, royalty-free, transferable, sublicensable license to use, display, reproduce, and distribute your content solely for the purpose of operating, maintaining, and promoting the platform and its services. This license exists only for as long as your content remains on the platform and terminates when you remove your content or close your account.
You represent and warrant that you have all necessary rights and permissions to post the content you submit and that such content does not infringe on the intellectual property rights of any third party.
Pender Exchange reserves the right to suspend, restrict, or permanently terminate any user account at our sole discretion, with or without prior notice, for any reason, including but not limited to:
Upon termination, your right to access and use the platform ceases immediately. Pender Exchange may, but is not obligated to, remove any content associated with a terminated account.
These Terms of Service are governed by and construed in accordance with the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada. By using the platform, you consent to the personal jurisdiction of such courts and waive any objection to the venue of proceedings in those courts.

Pender Exchange reserves the right to modify, amend, or update these Terms of Service at any time. When we make changes, we will update the "Last updated" date at the top of this page. We may, at our discretion, notify users of significant changes through the platform or by other reasonable means.
Your continued use of Pender Exchange after any modifications to these terms constitutes your acceptance of the revised Terms of Service. If you do not agree with the updated terms, you must discontinue use of the platform.
Pender Exchange is independently operated and is not affiliated with, endorsed by, or associated with Saltspring Exchange or any other classifieds platform.
All branding, design, content, and services on Pender Exchange are the original work of its operators. Any perceived similarities to other platforms are coincidental and do not imply any partnership, sponsorship, or organizational relationship.
